{"id":4484,"date":"2020-02-21T11:54:51","date_gmt":"2020-02-21T11:54:51","guid":{"rendered":"https:\/\/morisonplc.ng\/?page_id=4484"},"modified":"2020-02-21T12:21:28","modified_gmt":"2020-02-21T12:21:28","slug":"morison-plc-management-complaint-policy","status":"publish","type":"page","link":"https:\/\/morisonplc.ng\/bk\/morison-plc-management-complaint-policy\/","title":{"rendered":"MORISON PLC MANAGEMENT COMPLAINT POLICY"},"content":{"rendered":"[vc_row full_width=&#8221;stretch_row&#8221; equal_height=&#8221;yes&#8221; css=&#8221;.vc_custom_1531137017372{padding-top: 100px !important;padding-bottom: 130px !important;}&#8221;][vc_column width=&#8221;1\/6&#8243; cws_mobile_paddings=&#8221;40px 0px 0px 20px&#8221; css=&#8221;.vc_custom_1531989143642{padding-right: 50px !important;}&#8221;][\/vc_column][vc_column width=&#8221;2\/3&#8243;]<div class='cws_textmodule cws_vc_shortcode_module' id='cws_textmodule_6a18a64c8dcf4'><div class='cws_textmodule_wrapper add_divider'><div class='cws_textmodule_text text_align_center'><div class='cws_textmodule_titles display_block'><h3 class='cws_textmodule_title'><strong>OUR COMPLAINTS MANAGEMENT POLICY<\/strong><\/h3><\/div><div class='cws_textmodule_content'><div class='text_content_wrapper'><p style=\"text-align: left;\"><strong>THE COMPLAINTS MANAGEMENT POLICY <\/strong><strong>OF <\/strong><strong>MORISON INDUSTRIES PLC<\/strong><strong>\u00a0<\/strong><\/p>\n<p style=\"text-align: left;\"><strong>(<\/strong><strong>COMPLAINTS RELATED TO CAPITAL MARKETS OPERATIONS 2015)<\/strong><\/p>\n<ol style=\"text-align: left;\">\n<li><strong><u>PREAMBLE<\/u><\/strong><\/li>\n<\/ol>\n<p style=\"text-align: left;\">This Complaint Management Policy (\u2018\u2019the Policy\u2019\u2019) has been established pursuant to the Rules of the Securities &amp; Exchange Commission (\u201cSEC\u201d) on the Complaints Management Framework of the Nigerian Capital Market (\u201cFramework\u201d) released on 16th February 2015 and also on the directive of the Nigerian Stock Exchange (\u201cthe NSE\u201d) contained in its Circular No. NSE\/LARD\/LRD\/CIR6\/15\/04\/22 issued on 22nd April 2015 to all listed Companies.<\/p>\n<ol style=\"text-align: left;\" start=\"2\">\n<li><strong> <u>OBJECTIVE<\/u><\/strong><\/li>\n<\/ol>\n<p style=\"text-align: left;\"><strong>\u00a0<\/strong><\/p>\n<p style=\"text-align: left;\">This policy has established procedure to address the complaints of shareholders of Morison Industries Plc (\u201cMIPLC\u201d) efficiently, fairly, impartially, objectively and timeously. It also provides the opportunity for MIPLC\u2019s shareholders to have feed-back on matters that affect shareholders.<\/p>\n<p style=\"text-align: left;\">This policy only relates to shareholders and does not extend to MIPLC\u2019s customers, suppliers and other stakeholders.<\/p>\n<ol style=\"text-align: left;\" start=\"3\">\n<li style=\"text-align: left;\"><strong><u>PROCEDURE FOR HANDLING SHAREHOLDER COMPLAINTS<\/u><\/strong><\/li>\n<\/ol>\n<p style=\"text-align: left;\">Any shareholder who wishes to make any complaints with respect to his\/ her shareholding may do so in the following Manner:<\/p>\n<p style=\"text-align: left;\">i.<strong>\u00a0\u00a0\u00a0\u00a0\u00a0 Contact the Registrar<\/strong>: Shareholders\u2019 complaint shall in the first instance be directed to the Registrar of MIPLC. The Registrar maintains \/ manages MIPLC\u2019s register of members \/ shareholders. Upon receipt of a complaint, the Registrar shall handle and resolve it and immediately provide the relevant details of such complaint to MIPLC for record keeping, monitoring and reporting purposes.<\/p>\n<p style=\"text-align: left;\">In resolving complaints or enquiries, the Registrar shall be guided by the timelines provided in Clause 3 (iv &#8211; vi) of this Policy.<\/p>\n<p style=\"text-align: left;\">ii.<strong>\u00a0\u00a0\u00a0\u00a0\u00a0 Contact MIPLC\u2019s Company Secretariat \/ Office of MIPLC\u2019s Company Secretary<\/strong>: Where the Registrar is unable to satisfactorily resolve the complaints, the shareholders\u2019 may lodge their complaints with MIPLC\u2019s Company Secretary who will in turn record and refer the complaints to the Registrar and monitor their handling and resolution.<\/p>\n<p style=\"text-align: left;\">iii.\u00a0\u00a0\u00a0\u00a0\u00a0 All shareholders complaint\u2019s shall disclose the material facts of the complaints with supporting documents and shall also state the complainant\u2019s names, full address, Phone numbers, email address, signature and date.<\/p>\n<p style=\"text-align: left;\">iv.\u00a0\u00a0\u00a0\u00a0\u00a0 All complaints received by e-mail shall be acknowledged within two (2) working days of receipt.<\/p>\n<p style=\"text-align: left;\">v.\u00a0\u00a0\u00a0\u00a0\u00a0 All Complaints received by post shall be responded to within five (5) working days of receipt.<\/p>\n<p style=\"text-align: left;\">vi.\u00a0\u00a0\u00a0\u00a0\u00a0 All Complaints shall be resolved within ten (10) working days of receipt.<\/p>\n<p style=\"text-align: left;\">vii.\u00a0\u00a0\u00a0\u00a0\u00a0 Where a complaint cannot be resolved within the stipulated time frame set out above, the shareholder shall refer the complaint to SEC within two (2) working days. The referral shall be accompanied by a summary of proceedings of events leading to the referral and copies of the relevant supporting documents.<\/p>\n<p style=\"text-align: left;\"><strong><u>4.\u00a0 ELECTRONIC COMPLAINTS REGISTER<\/u><\/strong><\/p>\n<p style=\"text-align: left;\">MIPLC shall keep and maintain an Electronic Complaints Register which shall contain the following details:<\/p>\n<p style=\"text-align: left;\">1.\u00a0 Name of complainant.<\/p>\n<p style=\"text-align: left;\">2.\u00a0 Date of complaint.<\/p>\n<p style=\"text-align: left;\">3.\u00a0 Nature of complaint.<\/p>\n<p style=\"text-align: left;\">4.\u00a0 Complaint details in brief.<\/p>\n<p style=\"text-align: left;\">5.\u00a0 Remarks \/ comments.<\/p>\n<p style=\"text-align: left;\">MIPLC shall update its complaints register monthly and forward status reports of complaints filed by shareholders to SEC quarterly.<\/p>\n<p style=\"text-align: left;\">5.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <strong><u>COMPLAINTS RECEIVED DIRECTLY BY MIPLC<\/u><\/strong><\/p>\n<p style=\"text-align: left;\">Where a complaint is sent to MIPLC directly, MIPLC shall upon receipt of the complaint use its best endeavors to ensure that:<\/p>\n<ul style=\"text-align: left;\">\n<li>Relevant details of the complaint are immediately recorded.<\/li>\n<li>A response and subsequent resolution are achieved within the timelines set out in Clauses 3 (iv-vi) above<\/li>\n<li>Where the complaint cannot be resolved within the time frames set out in this policy, the Shareholder shall be notified that the matter is being investigated.<\/li>\n<li>All shareholders shall be notified in the same manner through which the initial complaint was initiated by the shareholder except where agreed otherwise with the shareholder.<\/li>\n<\/ul>\n<ol style=\"text-align: left;\" start=\"6\">\n<li><strong><u>\u00a0LIAISON WITH MIPLC\u2019S REGISTRAR.<\/u><\/strong><\/li>\n<\/ol>\n<p style=\"text-align: left;\">During the course of investigating a shareholder\u2019s complaint, MIPLC may liaise with the Registrar.
